Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (the business or individual accepting them, “Customer”, “you”) and whatshandler ai (“whatshandler”, “we”, “us”) for use of the whatshandler website, dashboard, APIs, WhatsApp AI agent, and related services (the “Service”) available at https://whatshandler.com.

By creating an account, connecting WhatsApp, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you accept on behalf of a company, you represent that you have authority to bind that company.

whatshandler ai provides software that helps businesses operate an AI assistant on the WhatsApp Business Platform, including features such as:

• Automated and assisted replies to WhatsApp conversations
• Conversation history, lead capture/qualification, and owner alerts
• Business knowledge (text packs, media assets, source documents)
• Optional booking integrations (for example Calendly or Google)
• Admin dashboards and settings for your team

We are a technology partner helping businesses use WhatsApp Business capabilities through Meta’s Cloud API. Meta/WhatsApp remain separate platforms with their own terms. Feature availability may depend on your WhatsApp Business setup, Meta approvals, templates, and plan.

• You must provide accurate registration information and keep credentials confidential.
• You are responsible for all activity under your account and for team members you invite.
• Notify us promptly of unauthorized access or compromised WhatsApp API tokens.
• We may suspend access for security incidents, non-payment, or Terms violations.

You acknowledge that use of WhatsApp messaging is subject to Meta’s and WhatsApp’s terms and policies, including without limitation the WhatsApp Business Solution Terms, Commerce and messaging policies, template rules, and any Tech Provider / Solution Partner requirements that apply to your account.

You are solely responsible for:

• Maintaining a valid WhatsApp Business / Meta Business relationship and complying with quality and policy enforcement
• Obtaining and recording end-user consent / opt-in where required before initiating or continuing conversations (including marketing templates outside the customer-care window)
• Content of messages sent through your number, including AI-generated replies you allow the Service to send
• Honoring opt-outs and “stop” requests in line with WhatsApp rules and law
• Providing required business disclosures and privacy notices to your contacts

We may update the Service to reflect Meta API changes. Meta may throttle, block, or disconnect numbers for policy or quality reasons; we are not liable for Meta’s independent decisions.

The Service uses machine learning models (including third-party providers such as Google Gemini) to draft replies, extract lead fields, search knowledge, and assist booking. AI outputs can be incorrect, incomplete, or inappropriate. You must configure knowledge carefully, supervise high-risk use cases, and not rely on the Service as legal, medical, financial, or other professional advice.

You remain responsible for decisions made based on AI outputs and for messages delivered to your customers.

“Customer Content” includes WhatsApp message content, leads, knowledge text, media, documents, integration data, and other material you or your end-users submit to the Service.

You retain ownership of Customer Content. You grant whatshandler a worldwide, non-exclusive license to host, process, transmit, display, and create derivative works of Customer Content solely to provide, maintain, secure, and improve the Service (including AI inference and retrieval for your tenant), and as otherwise described in the Privacy Policy.

You represent that you have all rights and consents needed to submit Customer Content and to allow processing described in these Terms.

You will not, and will not allow others to:

• Violate law, Meta/WhatsApp policies, or third-party rights
• Send spam, unlawful, deceptive, harassing, or adult/illegal content via WhatsApp or the Service
• Use the Service for scams, phishing, malware, or unauthorized surveillance
• Reverse engineer, disrupt, or overload the Service except as permitted by law
• Probe or bypass security, or access another tenant’s data
• Misrepresent affiliation with Meta, WhatsApp, or whatshandler
• Upload malware or content you do not have rights to use in knowledge or media libraries

We may remove content or suspend the Service for violations, suspected abuse, or to protect the platform and end-users.

Optional integrations (Meta/WhatsApp, Calendly, Google, email providers, AI APIs) are governed by those providers’ terms. We are not responsible for third-party outages, policy changes, or data handling outside our instructions to them as subprocessors. You authorize us to exchange data with integrations you connect.

Pricing may be custom or plan-based as agreed in an order form, proposal, or dashboard checkout. Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes. Late or failed payment may result in suspension. Meta/WhatsApp conversation or template charges billed by Meta are separate from whatshandler subscription fees unless expressly included in writing.

Each party may receive Confidential Information from the other. The receiving party will use it only for performing under these Terms and protect it with reasonable care. Confidential Information does not include information that is public, independently developed, or rightfully received from a third party without duty of confidence.

Each party will comply with applicable data protection laws. Our Privacy Policy describes how we process personal data. For Customer Content that is personal data of your end-users, you are the controller and we are the processor, except where we act as an independent controller for account administration. Upon request we can provide a data processing addendum (DPA) for enterprise Customers where required.

The Service, software, branding, and documentation are owned by whatshandler and its licensors. Except for the limited right to use the Service under these Terms, no IP rights are transferred to you.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT AI OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR USE CASE. WHATSAPP DELIVERY DEPENDS ON META AND CARRIER NETWORKS OUTSIDE OUR CONTROL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHATSHANDLER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO WHATSHANDLER FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR ONE HUNDRED US DOLLARS / EQUIVALENT IF YOU HAVE NOT PAID).

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.

You will defend and indemnify whatshandler and its personnel against claims, damages, and costs (including reasonable legal fees) arising from: (a) Customer Content; (b) your WhatsApp messaging and Meta policy violations; (c) your misuse of the Service; or (d) your breach of these Terms or applicable law.

These Terms apply from your first use until terminated. You may stop using the Service and request account closure. We may terminate or suspend for material breach, unlawful use, non-payment, or risk to the platform. Upon termination, your right to access the Service ends. We may delete or return Customer Content per the Privacy Policy and any DPA, subject to legal retention needs.

We may modify the Service and these Terms. We will post updates on this page and revise the “Last updated” date. Material changes may be notified by email or in-product notice. Continued use after the effective date constitutes acceptance where allowed by law. If you do not agree, you must stop using the Service.

• Governing law. These Terms are governed by the laws of England and Wales, excluding conflict-of-law rules, unless a mandatory local law requires otherwise for Consumers (the Service is intended for business use).
• Disputes. Courts of England and Wales have exclusive jurisdiction, subject to any non-waivable consumer protections.
• Export. You will comply with export and sanctions laws.
• Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or successor.
• Entire agreement. These Terms, the Privacy Policy, and any order form/DPA constitute the entire agreement regarding the Service.
• Severability. If a provision is unenforceable, the remainder stays in effect.
